These Terms of Use (“Terms”) govern your access to and use of the Neptune Booking websites, admin dashboard, booking tools, and related services (the “Services”) provided by Neptune Booking (“Neptune,” “we,” “us,” or “our”). By creating an account, registering, signing in, or otherwise using the Services, you agree to these Terms.
You must be able to form a binding contract in your jurisdiction to use the Services. You are responsible for providing accurate registration information and keeping your credentials confidential. You are responsible for activity under your account. Notify us promptly of unauthorized use.
If you register with a phone number or opt in to text messages, you represent that you are the subscriber or customary user of that number and that your contact information is accurate. You agree to comply with applicable laws governing electronic communications, including consent and opt-out requirements for promotional messages where you act as the sender to your own customers.
Neptune provides online tools to help businesses manage bookings, customer interactions, and related workflows. Features may change over time. We may suspend or modify the Services for maintenance, security, or business reasons, subject to any express commitments in a separate agreement.
If you use the Services to send messages (including SMS or email) to your customers or contacts, you are responsible for obtaining legally required consents, honoring opt-outs, and complying with laws such as the TCPA, CAN-SPAM, and applicable privacy rules. Neptune provides technology; you remain responsible for your content and your compliance when messaging third parties.
You agree not to misuse the Services. Without limitation, you will not: violate law; infringe others’ rights; transmit malware; attempt unauthorized access; scrape or overload our systems; use the Services to send unsolicited or deceptive messages; or use the Services in a manner that could harm Neptune or others.
You retain ownership of content you submit. You grant Neptune a non-exclusive license to host, process, transmit, and display your content as reasonably necessary to provide and improve the Services. You represent that you have the rights needed to grant this license.
The Services may integrate with third-party platforms (such as payment processors or messaging providers). Those services are governed by their own terms and privacy policies. Neptune is not responsible for third-party services.
If you subscribe to paid plans, fees and billing terms are as presented at purchase or in a separate order form. Unless stated otherwise, fees are non-refundable except where required by law.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEPTUNE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEPTUNE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS. NEPTUNE’S AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO NEPTUNE FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US $100), IF YOU HAVE NOT HAD PAYMENT OBLIGATIONS.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
You will defend, indemnify, and hold harmless Neptune from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your content, your use of the Services, your communications with third parties, or your violation of these Terms or law.
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, create risk or harm, or if we discontinue the Services in accordance with applicable notice requirements. Provisions that by their nature should survive will survive termination.
These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules, unless a different governing law is required where you reside. Courts in Delaware (or another venue you and Neptune specify in a written agreement) have exclusive jurisdiction, unless applicable law requires otherwise. Replace this section if you require arbitration, a different venue, or consumer-mandatory local terms.
We may update these Terms. We will post the revised Terms and update the “Last updated” date. If changes are material, we may provide additional notice. Continued use after the effective date constitutes acceptance of the updated Terms, except where prohibited by law.
